1. Who we are

2. Acceptance of these terms

By accessing or using this website, completing the Sovereign Diagnostic, requesting the Vertex Global Access Blueprint, applying for a strategy session, or otherwise communicating with us, you confirm that you have read, understood and agree to be bound by these terms and by our Privacy Policy. If you do not agree, please do not use the website or our services.

3. Nature of our services — important

Our website content, the Sovereign Score™, the Sovereign Diagnostic, the Vertex Global Access Blueprint and any framework, document or conversation we provide are general and informational in nature. They are intended to help you understand and organise your own position, and to coordinate the appropriately qualified, independent professionals who can advise and act for you in the relevant jurisdictions.

You must obtain your own advice from suitably qualified and licensed professionals before taking, or refraining from, any action. You are solely responsible for any decision you make.

4. The Sovereign Diagnostic and Sovereign Score™

The Sovereign Diagnostic is an automated, educational self-assessment. The Sovereign Score™ and the report it produces are generated from the answers you provide, using a proprietary scoring model. They are directional and illustrative only, are not a regulated, independent or validated assessment of your circumstances, and must not be relied upon as advice. Outputs depend entirely on the accuracy and completeness of the information you enter.

5. No client or advisory relationship

Using this website or any free tool does not create any advisory, fiduciary, retainer or professional-client relationship between you and Vertex. A relationship arises only if and when we both sign a separate written engagement agreement, and then only on the terms of that agreement, which will prevail over these terms to the extent of any conflict.

6. Eligibility

This website and our services are intended for individuals who are at least 18 years old and have the legal capacity to enter into contracts. Our services are offered selectively and by application; nothing on this website is an offer, and we may decline to provide services to any person at our discretion. Any reference to a level of income, wealth or suitability is descriptive of our typical clients and is not a promise that our services are suitable for you.

7. Lawful and compliant use

Our services are designed to support lawful planning, structuring and compliance. They are not, and must not be used as, a means of tax evasion, the concealment of assets or income, money laundering, sanctions evasion, fraud, or any other unlawful purpose.

You agree that you will: (a) provide accurate, complete and current information; (b) comply with all laws, tax and reporting obligations that apply to you in every relevant jurisdiction; and (c) not use our website or services for any unlawful or improper purpose. We may refuse, suspend or terminate any engagement, and where required report it, if we reasonably believe it involves unlawful conduct or a breach of these terms.

8. Independent third-party partners

Where execution is appropriate, we may introduce or coordinate independent third-party professionals and providers (such as lawyers, tax advisers, banks, trust and corporate service providers). Those parties are not our employees, agents or partners; you engage and contract with them directly and on their own terms. We do not guarantee, and are not responsible or liable for, their advice, services, acts or omissions.

9. No guarantees or warranties

We do not guarantee any particular outcome, result, saving, approval, tax position, banking relationship, residency, citizenship or other benefit. Laws, rules, programmes and the practices of authorities and institutions change and vary by jurisdiction and by individual circumstance.

To the maximum extent permitted by law, the website and all materials are provided “as is” and “as available”, and we exclude all warranties, conditions and representations not expressly set out in these terms, whether express or implied.

10. Intellectual property

All content on this website and in our materials — including text, design, the Sovereign Score™, the Sovereign Diagnostic, the Vertex Global Access Blueprint, frameworks, graphics, logos and trade marks — is owned by or licensed to Vertex and is protected by intellectual-property laws. You may view it for your own personal, non-commercial use. You may not copy, reproduce, republish, distribute, adapt or exploit any of it without our prior written permission.

11. Limitation of liability

Nothing in these terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Subject to that, to the maximum extent permitted by law: (a) we will not be liable for any loss or damage arising from your use of, or reliance on, this website, the Sovereign Diagnostic or any free material; (b) we will not be liable for any indirect, special or consequential loss, or for any loss of profit, revenue, savings, opportunity, goodwill or data, however arising; and (c) our total aggregate liability arising out of or in connection with the website and any free materials shall not exceed £100. Liability under any paid engagement is governed by the separate written agreement for that engagement.

12. Indemnity

You agree to indemnify and hold Vertex harmless from any claims, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of the website or services, your provision of inaccurate information, or any unlawful conduct on your part.

13. Confidentiality

We treat information you share with us as confidential and handle personal data in accordance with our Privacy Policy. We expect the same discretion from you in respect of any non-public information, materials or methods we share with you.

14. Third-party links

This website may link to third-party websites or tools. We do not control and are not responsible for their content, availability, or practices, and a link does not imply our endorsement.

15. Availability and changes

We may change, suspend or withdraw all or part of the website or our services at any time without notice. We may also update these terms from time to time; the version published here is the version that applies, and your continued use constitutes acceptance of any changes.

16. General

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right is not a waiver of it. You may not assign your rights under these terms; we may assign ours. These terms, together with the Privacy Policy and any signed engagement agreement, constitute the entire agreement between us regarding the website and free materials.

17. Governing law and jurisdiction

These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
